Cluster Intelligence Hub – Terms of Service Important notice — not legal advice The following Terms of Service are provided as a draft template. They have not been reviewed by legal counsel. 1. Acceptance of These Terms By accessing or using any products or services offered by Cluster Intelligence Hub, Inc. ("Cluster", "we", "our", "us"), including the Cluster mobile applications, web portal located at clusterapp.net and related APIs (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of the Terms, do not access or use the Service.
2. Definitions "User" means any individual or legal entity that registers for, accesses, or uses the Service, including but not limited to pharmacies, suppliers, wholesalers, and their authorised employees or agents. "Transaction" means any purchase, sale, auction bid, or other commercial exchange completed through the Service. "Content" means all text, data, information, graphics, images, audio, video, or material uploaded to or transmitted through the Service by any User.
3. Eligibility You must (a) be at least 18 years of age and (b) have the legal capacity to enter into a binding contract under applicable law. If you act on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
4. Account Registration & Security You must create an account and provide accurate, complete, and current information. You are responsible for safeguarding your login credentials. You agree to notify Cluster immediately of any unauthorised use of your account.
5. Licence & Permitted Use Subject to your compliance with these Terms, Cluster grants you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Service solely for legitimate business purposes related to pharmaceutical procurement and distribution.
6. Subscriptions, Fees & Payment The Service is currently offered free of charge. Cluster reserves the right to introduce paid plans or usage fees in the future with at least 30 days’ written notice.
7. User Obligations & Prohibited Activities You agree not to: • Violate any applicable law or regulation, including pharmaceutical, export‑control, anti‑corruption, or competition laws. • Post or transmit false, misleading, or inaccurate information. • Infringe or misappropriate third‑party intellectual‑property or privacy rights. • Interfere with or disrupt the integrity or performance of the Service. • Reverse‑engineer, decompile, or attempt to discover the source code of the Service. • Introduce malware, spam, or automated scraping of the Service.
8. Marketplace Transactions Cluster acts solely as a technology platform connecting pharmacies (buyers) with suppliers or wholesalers (sellers). Cluster is not a party to any Transaction and assumes no responsibility for the quality, legality, safety, or availability of products, nor the accuracy of offers or pricing. Buyers and sellers are solely responsible for compliance with all pharmaceutical and trade regulations.
9. Auction & Bidding Module If you participate in an auction, you agree that bids are binding offers. Sellers may accept or reject any bid at their discretion. Cluster does not guarantee any minimum price, bid quantity, or transaction outcome.
10. Pricing & Discounts Pricing, discount percentages, and promotional offers are established by suppliers. Cluster’s AI‑driven pricing tools and recommendations are provided for informational purposes only and do not constitute legal or commercial advice.
11. Intellectual Property The Service, including underlying software, designs, trademarks, logos, and associated intellectual property, is owned by Cluster or its licensors and is protected by copyright, trademark, and other laws. Your use of the Service does not grant you any ownership rights.
12. Privacy Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and share personal information.
13. Third‑Party Services & Links The Service may contain links to third‑party sites or integrate with third‑party services. Cluster is not responsible for the content, policies, or performance of those third‑party products.
14. Medical & Regulatory Disclaimer Cluster does not provide medical, pharmaceutical, or regulatory advice. All content is for general information only. You are responsible for verifying that any medicine is authorised, safely stored, and properly dispensed in accordance with applicable laws.
15. Warranty Disclaimer THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CLUSTER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
16. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLUSTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL CLUSTER’S AGGREGATE LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS (USD 100) OR THE TOTAL AMOUNT OF FEES PAID BY YOU TO CLUSTER IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.
17. Indemnification You agree to defend, indemnify, and hold harmless Cluster and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your (i) use of the Service, (ii) breach of these Terms, or (iii) violation of any law or third‑party right.
18. Suspension & Termination Cluster may suspend or terminate your access to the Service at any time, with or without notice, for conduct that Cluster reasonably believes violates these Terms or is harmful to other Users, Cluster, or third parties.
19. Changes to the Service or Terms Cluster may modify the Service or these Terms at any time. Material changes will be announced by posting an updated version on the Site or via in‑app notice. Continued use after the effective date constitutes acceptance.
20. Governing Law & Dispute Resolution Unless mandatory local law provides otherwise, these Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑law principles. Any dispute arising out of or related to the Service shall be resolved by binding arbitration under the Rules of the American Arbitration Association in Wilmington, Delaware, unless you opt‑out within 30 days of first accepting these Terms by emailing info@clusterapp.net.
21. Export & Sanctions Compliance You may not use, export, or re‑export the Service except as authorised by U.S. law and the laws of the jurisdiction in which the Service was obtained. You represent that you are not located in, nor are you a resident of, any country subject to U.S. Government embargo.
